FOUNDATION FOR MIDDLE EAST PEACE LICENSE AGREEMENT

PLEASE READ THIS USER AGREEMENT CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND OBLIGATIONS. 

SUMMARY

This Summary is intended to offer an overview of the document, but it does not alter any of the legal obligations below in the License Agreement.

This License controls the use of all the materials found on Foundation for Middle East Peace’s websites including fmep.org, lawfare.fmep.org, and any other website owned and run by FMEP. By downloading and/or using any of the materials and/or content (“FMEP Content”) you agree to the terms of this license. 

The use of the FMEP Content is limited to the mission of Foundation for Middle East Peace, and this license will be revoked if you use the FMEP Content in a restricted manner described below (“Restricted Uses”). Additionally, you may not transfer this license or try to claim the FMEP Content as your own. Finally, you may be liable to the Foundation for Middle East Peace if you violate any of the terms of this agreement.

LICENSE AGREEMENT

This is a license agreement between you, as an individual or entity, and Foundation for Middle East Peace (“FMEP”) that explains how you can use the FMEP Content. By downloading, copying, or using the FMEP Content from FMEP, you accept the terms of this agreement. FMEP reserves the right to amend or update this license from time to time.

The contents of the FMEP Content include, but are not limited to designs, graphics, pictures, reports, text, documents, research, audio/video content, and papers. The FMEP Content is owned by FMEP. FMEP reserves all rights in the FMEP Content not expressly granted herein. This license and your right to use the FMEP Content will terminate automatically if you violate any part of this agreement. In the event of termination, you must destroy  all copies of the FMEP Content in your possession.

Use of the FMEP Content. You may use the FMEP Content in any way that is not restricted (see Restricted Uses below). Subject to those restrictions and the rest of the terms of this agreement, the rights granted to you by FMEP are perpetual, non-exclusive, worldwide, and unlimited. This license allows you to use the FMEP Content without cost for any non-commercial purpose that complies with the mission of FMEP. 

For purposes of this agreement, “use” means to copy, reproduce, modify, edit, synchronize, display, broadcast, publish, or otherwise make use of.

Attribution. You must include the following credit for all publications of FMEP Content: “Source: Foundation for Middle East Peace.”

RESTRICTED USES

No Unlawful False or Misleading Use. You may not use the FMEP Content: (i) in a pornographic, defamatory, or other unlawful manner, or in violation of any applicable regulations or industry codes, (ii) in a way that distorts, alters, or selectively excerpts the FMEP Content in order to present the information in a way that is misleading, false, or mischaracterizes the relationship of the parties including in a manner implying you are speaking for or with the approval of FMEP, or (iii) in a way that violates or otherwise jeopardizes the tax exempt status of FMEP.

No Use in Trademark or Logo. You may not use the FMEP Content (in whole or in part) as the distinctive or distinguishing feature of a trademark, design mark, tradename, business name, service mark, or logo. Additionally, you shall not be entitled to register (in any jurisdiction) such FMEP Content (in whole or in part) as a trademark.

No False Representation of Authorship. You may not falsely represent that you are the original creator of an end use that is made up largely of licensed FMEP Content. For instance, you cannot create an article based solely on licensed FMEP Content and claim that you are the author.

No Resale. You may not use the FMEP Content in connection with any goods or services intended for resale or distribution. 

No sublicense. You may not transfer or sublicense the rights granted to you, meaning that you cannot transfer or sublicense them to anyone else. The only exception is that you may allow subcontractors (for example, your printer or mailing house) or distributors to use the FMEP Content in any production or distribution process related to your final project or end use. These subcontractors and distributors may not use the FMEP Content for any other purpose.

MISCELLANEOU

Termination.  This agreement is effective until it is terminated by either party. You can terminate this agreement by ceasing use of the FMEP Content and deleting or destroying any copies. FMEP may terminate this agreement at any time if you fail to comply with any of the terms, in which case you must immediately: cease using the FMEP Content; delete or destroy any copies; and, if requested, confirm to FMEP in writing that you have complied with these requirements.

Social Media Termination. If you use the FMEP Content on a social media platform or other third-party website and the platform or website uses (or announces that it plans to use) the FMEP Content for its own purpose or in a way that is contrary to this agreement, this agreement shall immediately terminate.

No Warranties.  The FMEP Content is provided “as is” without representation, warranty or condition of any kind, either express or implied, including, but not limited to, implied representations, warranties or conditions of merchantability, or fitness for a particular purpose. FMEP does not represent or warrant that the FMEP Content will meet your requirements or that its use will be uninterrupted or error free. Additionally, for all FMEP Content published prior to 2017 there may be third parties that have ownership rights in the FMEP Content. FMEP encourages parties wishing to use these materials to ensure that they have received appropriate licenses from any third party that may have an ownership right in the FMEP Content.

Indemnification of FMEP by you. You agree to defend, indemnify and hold harmless FMEP and its parent, subsidiaries, affiliates, and the FMEP Content suppliers, and each of their respective officers, directors and employees from all damages, liabilities and expenses (including reasonable legal costs including attorney fees) arising out of or in connection with any breach or alleged breach by you (or anyone acting on your behalf) of any of the terms of this agreement.

Limitation of Liability. FMEP WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER SIMILAR DAMAGES, COSTS OR LOSSES ARISING OUT OF THIS AGREEMENT, EVEN IF FMEP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY.

Assignment. This agreement is personal to you and is not assignable by you without FMEP’s prior written consent. FMEP may assign this agreement, without notice or consent, to any corporate affiliate or to any successor in interest, provided that such entity agrees to be bound by these terms.

Certificate of Compliance. Upon reasonable notice, you agree to provide to FMEP sample copies of projects or end uses that contain licensed FMEP Content, including by providing FMEP with free of charge access to any pay-walled or otherwise restricted access website or platform where the FMEP Content is reproduced. 

Severability. If one or more of the provisions in this agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions should not be affected. Such provisions should be revised only to the extent necessary to make them enforceable.

Waiver. No action of either party, other than express written waiver, may be construed as a waiver of any provision of this agreement.

Notice. All notices required to be sent to FMEP under this agreement should be sent via email to info@fmep.org 

Entire Agreement. This Agreement represents the entire agreement of the parties and supersedes all prior written or oral understandings with respect to the subject matter of this Agreement.

Governing Law. This Agreement shall be governed by and interpreted in accordance with the laws of the District of Columbia without regard to conflicts of laws issues.

Amendments. This Agreement or any of its terms may only be amended or modified in writing by FMEP.

Taxes. You agree to pay and be responsible for any and all sales taxes, use taxes, value added taxes and duties imposed by any jurisdiction as a result of the license granted to you, or of your use of the licensed FMEP Content.
